I wonder if the 'agreement' signed was for the 50/50 to be run on a % of funds rather than a dollar amount. Then Katz could always say 'we'd make nothing on it if they didn't bring anything in'. Really, this would be an act of charity itself.

No one thought this lottery was going go this massive.. a % cut of that huge amount for "administration" is a windfall profit.. its like they win a lottery on every lottery night ..
If this contract is up for renewal periodically then it should be re-written as a fixed sum.. or a % capped at an upper limit .
